What does Branimir Štrukelj hide in the complex ownership structure of Mladina?

“However, the question arises as to why the owners of Mladina d.d. have such a complex ownership structure? What are they hiding? How do they even have the courage to blame others for anything before they clear in front of their doorstep?” tax expert Ivan Simič asked himself after Mladina’ response.

Mladina JSC wrote on the 15th page of the Friday (May 28th, 2021) issue of the magazine Mladina, in the section Rolling around the stage: “Ivan Simič will greatly increase the efficiency of Furs (for a start, he will move the headquarters to the ciper press).” In response, tax expert MSc Ivan Simič published an analysis of the ownership of the company Mladina JSC, which publishes the publication of the same name, on his blog. The analysis is published in full.

Responsible in Mladina JSC and in the magazine Mladina I announce that I will not move the headquarters to Cyprus because I have practically nothing left in Cyprus. A company not directly owned by me is in the process of being deleted and will be deleted from the business register shortly. However, the almost final and unfortunately still hidden majority owner of the company Mladina JSC, i.e. the Italian company KB1909, has already been deleted.

However, the “ciper press” exclusively provided me with the ownership structure of Mladina JSC, which is still shrouded in secrecy at the end of the chain. You could also use the term non-transparent. Especially because as of December 4th, 2019, Denis Tavčar, who has been the President of the Management Board since October 22nd, 2013, has been registered as the actual owner of the company (according to the management) Mladina JSC. Before her, Boris Peric was registered as the actual owner from December 10th, 2018 to January 11th, 2019 (only 31 days), who is only 0.42% owner of a share in the Italian company Transmedia SRL, in which 97.79% the Slovenian company Distriest Ltd is the owner of a share, in which it is known who is the majority and actual owner. From the chain of ownership of Mladina JSC shown below, you will be able to ask yourself why Mladina JSC is playing these hideouts.

Thus, “ciper press” announces that in Mladina d.d., which has 3,000 shares and 75,120.00 euros of share capital, the shareholders are:

The following three issues are unusual in this ownership structure:

  • that the majority, i.e. 70.3668% owner of shares (2,111) is Transmedia Ltd,
  • that 2.0000% owner of shares (60) is state-owned KAD JSC, and
  • that 2.0576% owner of shares (62) is in the state-owned BAMC JSC, which is 45.3886% a shareholder in Salomon, with a contribution in the amount of 4,690,620.16 euros.

If we simplify the data obtained from “ciper press”, the state is 4.0576% owner of the company Mladina JSC.

I will now turn to the majority shareholder, i.e. the company Transmedia JSC, Dunajska cesta 51, Ljubljana, with a share capital of 7,500.00 euros. It is apparent from the court register that the sole shareholder of that company is the Italian company Transmedia S.R.L., Oiazza Vittoria 41, Gorizia.

We are now going to the Italian business register, which shows that the Italian company Transmedia S.R.L., with a share capital of 2,120,000.00 euros (my calculation is 2,119,997.00 euros), has a large number of partners, which are listed below:

As we can see, the largest owner of the share (97.79%), with a contribution of 2,073,244.00 euros in the Italian company Transmedia S.R.L., is the Slovenian company Distriest Ltd.

Therefore, I am now moving to the Slovenian business register, which shows that the partner of the company Distriest Ltd, Partizanska cesta 75 a, Sežana, with a share capital of 940,540.05 euros, is the Italian company KB 1909, Ulica Malta 2, Gorizia.

However, if you want to check who the shareholders are in the Italian company KB 1909, you will not be able to do so because that company has been deleted from the Italian business register. This means that the final and largest owner of Mladina JSC is Distriest Ltd, which has no clear owners and therefore it would be appropriate for the director of Distriest, not the President of the Management Board of the company Mladina JSC, to be entered in the register of beneficial owners as the beneficial owner (by management).

However, the question arises as to why the owners of Mladina JSC have such a complex ownership structure? What are they hiding? How do they even have the courage to blame others for anything before they clear in front of their doorstep?

Simič will take over the management of the Financial Administration in June, and it is becoming increasingly clear why Štrukelj, who uses his media for political agitation, is doing everything he can to bring down the government. That Branimir Štrukelj is a politician is clear from the records of the National Electoral Commission, where we can be sure that he won 584 votes in the 2014 European Parliament elections.
